Affiliate Program Terms and Conditions

1. Definitions

"Affiliate": The user registered in the RoyLead affiliate program.

"Referral": A new user who registers on RoyLead through the Affiliate's link or code.

"Commission": The compensation owed to the Affiliate for each Referral who subscribes to a paid plan.

"Attribution Window": The time period during which a click is attributed to the Affiliate.

2. Participation Requirements

To participate in the affiliate program, you must:

• Have an active and verified RoyLead account
• Be at least 18 years old
• Provide valid billing and payment information
• Fully accept these Terms and Conditions
• Not have been previously excluded from the program

3. Commission Structure

Commission is calculated on the net subscription value (excluding VAT) at the time of first payment and each subsequent renewal, for the entire duration of the Referral's subscription.

Commissions are subject to a 14-day hold period before becoming available for withdrawal. This period serves to verify that the Referral's payment is not canceled or refunded.

4. Payment Methods

Commissions can be paid via:

• Bank transfer: Requires valid IBAN and BIC
• PayPal: Requires verified PayPal email

Payments are processed by the 15th of the month following achievement of minimum payout (€100).

5. Tax Responsibility

The Affiliate is solely responsible for tax compliance regarding received compensation.

• Affiliates with Italian VAT number: Must issue invoice to RoyLead Srls
• Affiliates without VAT (Italy): Compensation subject to 20% withholding tax
• Foreign affiliates: Must provide tax documentation from their country

RoyLead reserves the right to request tax documents before processing payment.

6. Prohibited Practices

It is strictly forbidden to:

• Self-referral: Register through your own affiliate link
• Cookie stuffing: Force cookie installation without user consent
• Spam: Send unsolicited emails or mass messages
• Brand keyword PPC: Run paid ads on "RoyLead" or similar keywords
• Misleading content: Promise non-existent features or benefits
• Fake accounts: Create fictitious accounts to generate commissions
• Illegal content: Promote RoyLead on sites with illegal or offensive content
• Impersonation: Pretend to be RoyLead employees or representatives

7. Promotional Material

RoyLead may provide promotional materials (banners, logos, text) for use in promotions. The Affiliate agrees to:

• Use materials without unauthorized modifications
• Not create material that could damage RoyLead's image
• Remove material immediately upon request

8. Tracking and Reporting

RoyLead uses a cookie and fingerprinting-based tracking system to attribute Referrals to Affiliates.

• The affiliate cookie has a 30-day duration
• Last click wins in case of multiple Affiliates
• Tracking is subject to user privacy settings

The Affiliate has access to a dashboard with real-time statistics on clicks, registrations, conversions, and commissions.

9. Suspension and Termination

RoyLead may suspend or terminate the Affiliate's participation if:

• The Affiliate violates these Terms and Conditions
• The Affiliate uses prohibited practices (section 6)
• The Affiliate's RoyLead account is suspended or deleted
• The Affiliate provides false or incomplete information
• The Affiliate does not reach minimum payout for 12 consecutive months

Consequences of termination:

• Loss of commissions on hold (not yet approved)
• Already approved but unpaid commissions will be paid if over €100
• Inability to request program access again

10. Program Changes

RoyLead reserves the right to modify these terms, commission percentages, or any other aspect of the affiliate program.

Substantial changes will be communicated with at least 30 days notice via email. Continued participation in the program after this period constitutes acceptance of the changes.

11. Limitation of Liability

RoyLead is not responsible for:

• Technical errors in the tracking system (although we commit to resolving them promptly)
• Loss of earnings due to program changes
• Actions of Referral users (cancellations, refunds, etc.)
• Tax issues arising from Affiliate non-compliance

12. Applicable Law

These terms are governed by Italian law. For any dispute, the competent court is Foggia, Italy.
